These Terms & Conditions (“Terms”) govern your use of veralabs.shop (the “Site”) and any purchase you make from Vera Labs (“Vera Labs,” “we,” “us,” or “our”). By accessing the Site, requesting a quote, or placing an order, you agree to these Terms. If you do not agree, do not use the Site or purchase our products.

1. Research Use Only

All products sold by Vera Labs are research compounds intended strictly for in vitro laboratory research and educational purposes only. Our products are:

• NOT for human or animal consumption, injection, ingestion, inhalation, or topical use
• NOT drugs, dietary supplements, food, cosmetics, or medical devices
• NOT evaluated or approved by the U.S. Food and Drug Administration (FDA)
• NOT intended to diagnose, treat, cure, mitigate, or prevent any disease or condition

Nothing on the Site, in our emails, on our labels, or in communications with our team is medical advice, dosing guidance, or a claim that any product is safe or effective for any use in humans or animals. We do not provide dosing, administration, or protocol information, and any request for it will not be answered.

2. Eligibility

You must be at least 21 years of age to use the Site or purchase from Vera Labs. By placing an order you confirm that you are 21 or older, that you are legally able to enter into a binding agreement, and that purchasing these products is lawful where you are located. We may request verification of age or identity at any time and may cancel any order that cannot be verified.

3. Buyer Representations and Responsibilities

By placing an order, you represent and agree that:

• You are purchasing products solely for lawful research purposes as described in Section 1
• You have the knowledge and facilities needed to handle, store, and dispose of research compounds safely and in compliance with all applicable laws
• You will not use, sell, or give any product to any person for human or animal consumption or use
• You will not resell or relabel products or market them for any purpose other than research
• You are solely responsible for complying with all federal, state, and local laws that apply to your purchase, possession, and use of the products

We reserve the right to refuse or cancel any order, and to decline future orders, if we believe a customer intends to use products outside of research purposes, including based on statements made in messages, reviews, social media, or order notes.

4. Product Information

We work to keep product descriptions, images, and specifications accurate, but we do not guarantee that all content is complete, current, or error free. Product images are for illustration only and packaging or labels may change. Certificates of Analysis (COAs) are provided for informational purposes and reflect testing of specific batches; they are not a guarantee of results in your own research.

5. Orders, Quotes, and Payment

Orders are placed through our quote request system. After you submit a request you will receive an email with your order details and payment instructions. An order is not accepted until we confirm payment has been received.

• We currently accept the payment methods listed at checkout, which may include Cash App, Zelle, Venmo, PayPal, Wise, and Apple Pay. These payments are processed by those third party services under their own terms and privacy policies.
• Please include your order reference in your payment note exactly as instructed so we can match your payment.
• Unpaid quotes may be cancelled after a reasonable period, and pricing on an unpaid quote is not guaranteed.
• We reserve the right to refuse, limit, or cancel any order for any reason, including suspected fraud, pricing or listing errors, stock limits, or concerns about intended use. If we cancel an order after payment, we will refund the amount paid.

6. Pricing and Promotions

All prices are in U.S. dollars. Prices, promotions, and discount codes may change or end at any time without notice. Discount codes are limited to one per order unless stated otherwise, have no cash value, and may not be applied to past orders.

7. Shipping

We ship within the United States only. Processing times, shipping options, and delivery details are described in our Shipping and Returns Policy, which is part of these Terms. Delivery estimates are not guaranteed.

8. Returns and Refunds

Because of the nature of research compounds, all sales are final. We will replace or refund items that arrive damaged, defective, or incorrect when reported as described in our Shipping and Returns Policy.

9. Assumption of Risk

Research compounds may be hazardous if mishandled or misused. You assume all risks associated with the purchase, handling, storage, use, and disposal of any product. Any use of a product contrary to these Terms is done entirely at your own risk.

10. Disclaimer of Warranties

To the fullest extent permitted by law, the Site and all products are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non infringement. We do not warrant that any product is suitable for any particular research application.

11. Limitation of Liability

To the fullest extent permitted by law, Vera Labs and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any injury, illness, or loss arising from the misuse of any product or any use contrary to these Terms. Our total liability for any claim related to a product or order will not exceed the amount you paid for that order.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vera Labs and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses, including reasonable attorney fees, arising from your use or misuse of any product, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Prohibited Uses of the Site

You may not use the Site for any unlawful purpose, submit false information, attempt to interfere with the Site’s security or operation, or copy, scrape, or reproduce Site content without our written permission.

14. Intellectual Property

All content on the Site, including the Vera Labs name, logos, images, text, and design, belongs to Vera Labs or its licensors and may not be copied, reused, or distributed without written permission.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law rules. Before filing any claim, you agree to contact us at Support@veralabs.shop and try in good faith to resolve the issue informally for at least 30 days. Any dispute that cannot be resolved informally will be brought only in the state or federal courts located in Texas, and you consent to their jurisdiction. To the extent permitted by law, all claims must be brought individually and not as part of any class or representative action.

16. Changes to These Terms

We may update these Terms at any time by posting a new version on this page with a revised “Last updated” date. Your continued use of the Site or any order placed after changes are posted means you accept the updated Terms.

17. General

If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver. These Terms, together with our Privacy Policy and Shipping and Returns Policy, are the entire agreement between you and Vera Labs regarding the Site and your purchases.
